Terms and conditions for your laboratory software service.

Please review the agreement below before creating or using the service. It sets out how the platform works, what users are responsible for, and the rights and limits that apply to your account and data.

1 Acceptance of terms

By accessing or using the [Platform Name] software platform (“Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you (“Customer”, “User”, or “Laboratory”) and [Your Company Name] (“Company”, “we”, “us”, or “our”).

2 What you can expect

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

3 Your responsibilities
  • You are legally capable of entering into a binding contract.
  • You are authorized to act on behalf of your organization.
  • Your use complies with all applicable laws and regulations.
4 Account registration

To use the Service, you must create an account and provide accurate and complete information.

  • Maintaining the confidentiality of login credentials.
  • All activities occurring under your account.
  • Ensuring authorized access only.

You must notify us immediately of any unauthorized use or security breach.

5 Subscription and fees

5.1 Subscription Plans
Access to the Service is provided under subscription plans described on our pricing page or agreed in a separate contract.

5.2 Billing
Fees are billed monthly or annually, depending on your selected plan.

5.3 Late Payments
Failure to pay fees may result in suspension or termination of access to the Service.

5.4 Taxes
All fees exclude applicable taxes unless stated otherwise.

6 Customer data

6.1 Ownership
You retain ownership of all laboratory data, patient information, reports, and records uploaded or generated through the Service (“Customer Data”).

6.2 License to Process Data
You grant us a limited license to host, process, transmit, and back up Customer Data solely for the purpose of providing the Service.

6.3 Responsibility for Data
You are solely responsible for accuracy of submitted data, obtaining required patient consents, and compliance with applicable healthcare and data protection laws.

7 Data protection and privacy

We implement commercially reasonable administrative, technical, and organizational safeguards to protect Customer Data. Where applicable, we may comply with GDPR, HIPAA, local healthcare privacy regulations, and data retention obligations.

Our collection and processing of personal data are governed by our Privacy Policy.

8 Acceptable use
  • Use the Service for unlawful purposes.
  • Attempt unauthorized access to systems or data.
  • Interfere with platform performance or security.
  • Upload malicious software or harmful code.
  • Reverse engineer or copy the Service.
  • Use the Service to violate medical or laboratory regulations.

We may suspend accounts involved in prohibited activities.

9 Intellectual property

The Service, including all software, code, interfaces, trademarks, designs, and documentation, remains the exclusive property of [Your Company Name].

No ownership rights are transferred to users except for the limited license granted under these Terms.

10 Third-party integrations

The Service may integrate with third-party systems, including medical devices, payment gateways, EHR/EMR systems, cloud storage providers, and APIs.

We are not responsible for the availability, functionality, or security of third-party services.

11 System availability

We aim to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance, updates, outages, or technical failures may temporarily affect access.

12 Compliance disclaimer

The Customer is solely responsible for ensuring that its use of the Service complies with all applicable laboratory, healthcare, medical, accreditation, and regulatory requirements.

Use of the Service does not guarantee legal or regulatory compliance.

13 Backup and disaster recovery

We may perform routine backups of Customer Data. However, Customers are encouraged to maintain independent backups of critical records.

We are not liable for data loss caused by user error, unauthorized access, third-party failures, or force majeure events.

14 Confidentiality

Both parties agree to protect confidential information disclosed during the relationship and not disclose such information to third parties except as required by law.

15 Limitation of liability
  • The Service is provided “as is” and “as available”.
  • We disclaim all implied warranties.
  • We are not liable for indirect, incidental, special, or consequential damages.
  • Our total liability shall not exceed the fees paid by the Customer during the previous twelve (12) months.

We are not responsible for clinical decisions, laboratory diagnoses, or medical outcomes resulting from use of the Service.

16 Indemnification

You agree to indemnify and hold harmless [Your Company Name] from claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, violation of laws or third-party rights, or misuse of patient or laboratory data.

17 Termination

We may suspend or terminate access to the Service if you violate these Terms, payment obligations are not met, or your activities pose security or legal risks.

  • Access rights cease immediately.
  • Data retention and deletion policies may apply.
  • Outstanding fees remain payable.
18 Governing law

These Terms shall be governed by and construed in accordance with the laws of Ghana. Any disputes shall be resolved in the courts located within Ghana.

19 Changes to terms

We reserve the right to update these Terms at any time. Continued use of the Service after updates constitutes acceptance of the revised Terms.
